Agreement to Terms
By accessing or using the services provided by Codable Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
Codable Ltd provides bespoke software development services, including but not limited to web applications, mobile applications, custom software solutions, and related consulting services.
The specific scope, deliverables, and terms of any project will be outlined in a separate agreement or statement of work between you and Codable Ltd.
Intellectual Property
Unless otherwise agreed in writing, upon full payment, you will own the intellectual property rights to the custom software specifically developed for you under a project agreement.
We retain ownership of any pre-existing materials, tools, frameworks, or methodologies used in the development process, along with any general knowledge or skills acquired during the project.
Payment Terms
Payment terms will be specified in your project agreement. Unless otherwise stated:
- Invoices are due within 30 days of the invoice date
- We reserve the right to suspend work on projects with overdue payments
- All prices are exclusive of VAT unless otherwise stated
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to, business processes, technical specifications, and financial information.
Limitation of Liability
To the maximum extent permitted by law, Codable Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services.
Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.
Warranties
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. Specific warranty terms for deliverables will be outlined in your project agreement.
Except as expressly stated, all warranties, conditions, and representations (whether express or implied) are excluded to the fullest extent permitted by law.
Termination
Either party may terminate a project agreement with written notice as specified in that agreement. Upon termination, you shall pay for all services rendered and expenses incurred up to the date of termination.
Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
